Terms of Service

The agreement between you and Ralspin. Please read it carefully — it includes an arbitration agreement and class-action waiver (Section 16).

§ 01Acceptance of these terms

These Terms of Service (the "Terms") are a binding agreement between you and Fezzo Consulting LLC, a Michigan limited liability company doing business as Ralspin ("Ralspin," "we," "us"). By creating an account, subscribing to a plan, providing your phone number for SMS alerts, or otherwise using our website, mobile interfaces, content, communications and consultation sessions (collectively, the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

§ 02Eligibility

You must be at least 18 years old, or the age of legal majority in your state, to create an account and enter into these Terms. Users between 13 and 17 may use the Service only through a parent or legal guardian who creates and supervises the account. We do not knowingly allow children under 13 to create accounts. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

§ 03Account registration

You agree to provide accurate, current and complete information when you register and to keep that information up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly at support@ralspin.com of any unauthorized use.

§ 04Description of the service

Ralspin is a curated subscription service that surfaces information about summer camps, fellowships, research programs, certifications, trades, apprenticeships and conferences, and sends deadline-driven SMS and email reminders. We also offer 1:1 consultation sessions with strategists for application review, essay feedback and pathway planning.

We are an information and matching service. We do not operate, sponsor, evaluate, accredit or guarantee any third-party program listed in our database. Eligibility, admission, scholarship awards, application outcomes and program quality are determined solely by the third-party programs and their operators. Deadlines, fees, eligibility criteria, locations and program details are subject to change at any time by the program operator; we make reasonable efforts to keep listings current but do not warrant their accuracy.

§ 05Subscriptions and billing

The Service is offered in three subscription tiers:

• Self-Starter — $9.99 USD per month, billed monthly to the payment method you provide.
• Household — $14.99 USD per month, billed monthly, includes up to four student profiles.
• Institution — $299 USD per month, per school site, billed monthly, includes up to 500 student profiles.

Annual prepayment is available at a 20% discount. Prices are exclusive of any applicable sales tax or VAT. All fees are non-refundable except as described in Section 6 and as required by applicable law. We reserve the right to change subscription fees with at least 30 days' prior notice, effective at the start of your next billing cycle.

Automatic renewal. Your subscription renews automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date. By providing a payment method, you authorize us to charge that method (or any updated method we obtain from the card network) on each renewal date.

§ 06Cancellation and refunds

You may cancel your subscription at any time from your account settings or by emailing support@ralspin.com. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then.

We do not generally offer refunds for partial billing periods. We will issue a refund where required by applicable consumer-protection law or where the Service has been materially unavailable due to our fault for a substantial portion of the billing cycle. Refund requests must be sent to billing@ralspin.com within 14 days of the charge.

§ 07SMS terms (TCPA)

By providing a mobile phone number and opting in to text alerts, you expressly consent to receive recurring autodialed text messages from Ralspin at the number you provide, including deadline reminders, account notices, billing notices and consultation confirmations. Consent to receive marketing text messages is not required as a condition of purchasing any goods or services.

Message frequency varies based on the opportunities you follow and your subscription tier. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Reply STOP to any message to opt out of further messages from that program. Reply HELP for help, or contact support@ralspin.com.

§ 08User content and conduct

You may submit content to the Service, including student profile information, saved opportunities, consultation notes, survey responses and communications ("User Content"). You retain all rights you have in your User Content. You grant Ralspin a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify and display User Content solely as necessary to provide the Service.

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service; (c) scrape, harvest or otherwise extract data from the Service except as expressly permitted by us in writing; (d) upload content that infringes any intellectual property right or that is defamatory, obscene or harassing; (e) impersonate any person or misrepresent your affiliation with any entity; or (f) use the Service to harvest contact information about young people for any purpose other than your own household's or institution's use.

§ 09Intellectual property

The Service, including the database, match engine, curated lists, written content, designs, logos, fonts (under license) and software, is the intellectual property of Fezzo Consulting LLC and its licensors, protected by U.S. and international copyright, trademark and trade-secret laws. Except for the limited license to use the Service as set out in these Terms, no rights are granted or transferred to you.

§ 10Third-party content and links

The Service contains links to and information about programs operated by third parties. We do not control and are not responsible for the availability, content, terms, privacy practices or fees of third-party programs. Your interactions with third-party programs are solely between you and the third party.

§ 11Consultation sessions

Consultation sessions are advisory in nature. Our strategists provide guidance on opportunity selection, application strategy and personal statements. Consultations do not constitute legal, financial, immigration or psychological advice and should not be relied upon as such. We make no guarantee of admission, scholarship, fellowship award or any other application outcome. Cancellations of booked consultations within 24 hours of the scheduled time may forfeit the session credit.

§ 12Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory or otherwise. To the maximum extent permitted by applicable law, Ralspin disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. Ralspin does not warrant that the Service will be uninterrupted, error-free, secure, accurate, complete, or that information provided will result in any particular outcome. Some jurisdictions do not allow the exclusion of certain warranties; in such cases, the exclusions in this section apply to the maximum extent permitted by law.

§ 13Limitation of liability

To the maximum extent permitted by applicable law, in no event will Ralspin, its officers, directors, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service.

Ralspin's total cumulative liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid to Ralspin in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the limitation of certain damages; in such cases the limitations in this section apply to the maximum extent permitted by law.

§ 14Indemnification

You agree to defend, indemnify and hold harmless Ralspin, its affiliates and their respective officers, directors, employees and agents from and against any claims, damages, obligations, losses, liabilities, costs or expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy or property right; or (d) any claim that your User Content caused damage to a third party.

§ 15Termination

We may suspend or terminate your account and access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or that termination is necessary to protect the Service, our users or third parties. You may terminate your account at any time as described in Section 6. Sections that by their nature should survive termination (including Sections 9, 12–14, 16 and 17) will survive.

§ 16Arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

You and Ralspin agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court if it qualifies. The arbitration will be conducted in English, in Oakland County, Michigan, or by video at your option. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Class-action waiver. You and Ralspin agree that each may bring claims only on an individual basis and not as a plaintiff or class member in any purported class, collective or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

Opt-out. You may opt out of this arbitration agreement by sending written notice to legal@ralspin.com within 30 days of first accepting these Terms. The notice must include your full name, the email associated with your account and a clear statement that you wish to opt out of the arbitration agreement.

§ 17Governing law

These Terms and any Dispute are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles, and, where applicable, U.S. federal law. The exclusive venue for any claim not subject to arbitration is the state or federal courts located in Oakland County, Michigan, and you consent to personal jurisdiction in those courts.

§ 18Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date and provide reasonable notice through the Service or by email. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you may cancel your subscription as described in Section 6.

§ 19General provisions

Entire agreement. These Terms, together with our Privacy Policy and any plan-specific order documents, constitute the entire agreement between you and Ralspin with respect to the Service.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any right is not a waiver of that right.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
